BY ACCESSING OR USING THE COZYROOM PLATFORM ("SERVICE") YOU AGREE TO BE LEGALLY BOUND BY THESE TERMS OF SERVICE ("TERMS"). IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.

The Service is provided by FENWIK, LLC, a Delaware limited‑liability company ("FENWIK," "we," "us," "our").

2. Eligibility – 18+ Only

When you register to use the Services, you agree to provide accurate and complete information about yourself. If you are under 18 years old, do not sign up for the Services — you are not authorized to use them.

3. Description of the Service

CozyRoom lets users chat with virtual characters generated entirely by artificial‑intelligence models. ALL RESPONSES ARE FICTIONAL, AUTOMATED, AND FOR ENTERTAINMENT PURPOSES ONLY.

• No part of the Service constitutes professional, legal, medical, or financial advice.
• You alone decide whether and how to act on any information. We disclaim all responsibility for decisions or actions taken in reliance on AI content.

4. Account Registration & Security

You must provide accurate information, keep your credentials confidential, and notify us immediately of any unauthorized use. We may suspend or terminate any account for breach or suspected misconduct.

5. Subscriptions, Fees & Refunds

5.1 Paid subscriptions are billed in advance on a recurring basis until cancelled.

5.2 Refunds: On request, we will issue one full refund of the current billing period per user (additional refunds only where required by law).

5.3 Taxes and third‑party fees (payment processors, currency conversion) are your responsibility.

6. Content & Intellectual Property

6.1 User Input Ownership. As a condition of use, you irrevocably assign to FENWIK all rights, title, and interest in and to the text, prompts, or other material you submit ("Input").

6.2 AI Output Ownership. All content generated by the Service ("Output") is the sole property of FENWIK. We grant you a personal, non‑exclusive, non‑transferable, revocable, non‑commercial license to view and share Output for lawful personal use only. Commercial exploitation is forbidden without our express written consent.

6.3 You receive no rights other than those expressly granted.

7. Acceptable‑Use Policy

You agree not to:

• Violate any law;
• Request or disseminate sexual content involving minors, hateful or extremist material, violent threats, self‑harm instructions, or any other unlawful or offensive content;
• Attempt to reverse‑engineer, scrape, or interfere with the Service;
• Transmit viruses or malicious code.

We may suspend or terminate the Service immediately upon suspected violation or at law‑enforcement request.

8. DMCA Copyright Policy

If you believe material available through the Service infringes your copyright, send a compliant notice to [email protected] (subject line "DMCA Notice"). Include:

• Identification of the copyrighted work;
• Identification of the allegedly infringing material;
• Your contact details;
• A good‑faith statement;
• A statement under penalty of perjury;
• Your physical or electronic signature.

We will remove or disable access to the material and notify the user, who may submit a counter‑notification under 17 U.S.C. § 512(g).

9. Suspension & Termination

We may, in our sole discretion, suspend or terminate your access (a) for any breach of these Terms, (b) to protect the Service or other users, or (c) to comply with law. We ordinarily provide notice but reserve the right to act without prior notice in urgent situations.

10. Disclaimer of Warranties

THE SERVICE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” FENWIK MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON‑INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR‑FREE, OR SECURE, OR THAT OUTPUT WILL BE ACCURATE OR RELIABLE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FENWIK, ITS OFFICERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY AMOUNT EXCEEDING USD 100, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12. Indemnification

You will defend, indemnify, and hold harmless FENWIK from any claim, loss, or liability arising from your Input, your use of the Service, or your violation of these Terms.

13. Consumer Rights

EU users retain the statutory 14‑day right of withdrawal for digital subscriptions not yet fully performed. California residents may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs.

14. Governing Law & Dispute Resolution

14.1 These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict‑of‑laws rules.

14.2 Binding Arbitration. Any dispute shall be finally resolved by confidential arbitration before a single arbitrator under the AAA Commercial Arbitration Rules, seated in Wilmington, Delaware. EACH PARTY WAIVES THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION.

14.3 Notwithstanding the foregoing, either party may seek temporary or permanent injunctive relief in any court of competent jurisdiction in Delaware.

15. Changes to the Terms

We may modify these Terms at any time. Changes are effective immediately upon emailing the updated Terms to the address associated with your account. Continued use of the Service constitutes acceptance.

16. Force Majeure

We are not liable for failure to perform due to events beyond our reasonable control, including but not limited to natural disasters, war, terrorism, riots, labor shortages, power failures, or Internet outages.

17. Beta Features

Features labeled “beta,” “preview,” or similar are experimental, may be modified or removed at any time, and are provided “as is” without any warranties.

18. Miscellaneous

• Entire Agreement: These Terms constitute the entire agreement between you and FENWIK regarding the Service and supersede all prior communications.
• Severability: If any provision is unenforceable, the remaining provisions remain in full force.
• Assignment: You may not assign or transfer your rights; FENWIK may assign freely.
• No Waiver: Failure to enforce any provision is not a waiver of future enforcement.
• Language: The official and controlling language of these Terms is English.
